We offer this website, including all information, tools, forms, and services available from it, to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site, submitting an application, or otherwise engaging with our services, you agree to be bound by these Terms and Conditions ("Terms"), including the additional terms and policies referenced here or available by hyperlink. Please read them carefully. If you do not agree to all of these Terms, you may not access the website or use any of its services.

1. Eligibility

By using this site, you represent that you are at least 18 years old and the age of majority in your state of residence, and that you have the authority to enter into these Terms on your own behalf or on behalf of the business you represent.

2. What This Site Is — and What It Is Not

A sub-dealer relationship with Ping is created only when (a) all required program agreements are executed in writing by both parties, and (b) Cricket Wireless approves the applicant and each proposed retail location. Cricket makes those decisions at its sole discretion and may decline or revoke approval at any time under its own program terms.

3. Program Terms Are Subject to Change and to Cricket Approval

Program details described on this site — including markets, available locations, build-out support, incentives, commission and residual structures, timelines, and qualification criteria — are summaries provided for general information. They are subject to Cricket review and may be modified, suspended, or discontinued at any time by Cricket or by Ping without notice. The executed program agreements, not this website, govern the actual relationship between Ping and a sub-dealer.

4. Applications and Submissions

When you submit an application or any other information through this site, you agree that:

• The information you provide is current, complete, and accurate, and you will promptly update it if it changes;
• You are authorized to provide any business information you submit;
• You authorize Ping and its service providers to verify the information you provide, including through background checks, credit checks, business-entity verification, and bank-account verification, where you have given the applicable consent;
• Ping may share your application with Cricket Wireless and AT&T for program review;
• Ping may decline any application for any reason, or for no reason, at any time.

Submitting false or misleading information is grounds for immediate rejection or termination.

5. Portal Accounts and Access

Approved applicants receive access to the Ping sub-dealer portal. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to use multi-factor authentication where we require it, to notify us immediately of any unauthorized access, and not to share credentials with anyone outside your authorized personnel. We may suspend or terminate portal access at any time for security or compliance reasons.

6. Acceptable Use

You are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, state, or local regulations, rules, laws, or ordinances; (d) to infringe upon or violate our intellectual property rights or those of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses, worms, or any other malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the site, the portal, or any related website. Cricket, Cricket Wireless, AT&T, and associated marks and characters are trademarks of their respective owners and are used by Ping as an authorized Master Agent. Nothing on this site grants you any right to use those marks. Approved sub-dealers may use Cricket marks only in accordance with Cricket's brand and program requirements.

8. Accuracy, Completeness, and Timeliness of Information

We are not responsible if information made available on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions without consulting more accurate, more complete, or more timely sources. Any reliance on the material on this site is at your own risk. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information.

9. Third-Party Links and Services

Certain content and services available through this site may include materials from third parties, and third-party links may direct you to websites that are not affiliated with us. 13. SMS Messaging Terms and Conditions

By providing your mobile phone number and opting in on one of our forms, you expressly consent to receive recurring SMS and MMS messages from Ping Master Agent LLC regarding your application, dealer onboarding, account notifications, document signatures, activations, payouts, training, support updates, and other business-related communications.

• Message frequency may vary depending on your application and account activity.
• Message and data rates may apply according to your mobile carrier's terms and conditions.
• Consent to receive text messages is not a condition of applying to or participating in the program.
• Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent will never be shared with any third parties.
• You may opt out at any time by replying STOP to any message. After opting out, you will receive a final confirmation message and will no longer receive SMS communications unless you opt back in.

• Wireless carriers are not liable for delayed or undelivered messages.
• By opting in, you represent that you are the authorized user of the mobile number provided and that you are authorized to consent to receive messages at that number.

Ping Master Agent LLC respects your privacy. Mobile information, including phone numbers and SMS consent records, will not be shared, sold, rented, or disclosed to third parties or affiliates for marketing or promotional purposes. All categories of personal information exclude text messaging originator opt-in data and consent. This information will not be shared with any third parties except as required by law or as necessary to provide messaging services through our authorized service providers.

15. Disclaimer of Warranties

We do not guarantee, represent, or warrant that your use of this site will be uninterrupted, timely, secure, or error-free, or that the results obtained from using it will be accurate or reliable. You agree that from time to time we may remove the site or the portal for indefinite periods or cancel them at any time without notice to you.

You expressly agree that your use of, or inability to use, the site is at your sole risk. In no case shall Ping Master Agent LLC, or our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind — including without limitation lost profits, lost revenue, lost savings, loss of data, or replacement costs — whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the site or any services obtained through it, or from any other claim related in any way to your use of the site, including any errors or omissions in any content, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in those states or jurisdictions our liability shall be limited to the maximum extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Ping Master Agent LLC and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

18. Termination

These Terms are effective unless and until terminated by either you or us. You may terminate them at any time by notifying us that you no longer wish to use our services, or by ceasing to use the site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination, and we may deny you access to the site or the portal. The obligations and liabilities of the parties incurred prior to the termination date survive termination for all purposes.

19. Governing Law and Venue

These Terms and any separate agreements by which we provide services to you shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. You agree that the state and federal courts located in Harris County, Texas shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the site. Nothing in this section limits or supersedes any dispute-resolution or arbitration provision contained in an executed program agreement between Ping and a sub-dealer, which controls as to that agreement.

20. Severability and Entire Agreement

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms; that determination shall not affect the validity and enforceability of the remaining provisions. These Terms and any policies posted on this site constitute the entire agreement between you and us regarding your use of the site, and supersede any prior agreements or communications regarding the site. Headings are for convenience only and do not limit or otherwise affect these Terms.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our website.
